Terms and Conditions

Non-Solicitation of Customers, Clients, and Employees
During the term of this Agreement and for two (2) years after its termination for any reason, both the Provider and Smart Billing Solutions agree to the following:

  • Neither party will directly or indirectly encourage any customers or clients of the other party to patronize a competitor or similar business.
  • Neither party will directly or indirectly disclose the names or addresses of the other party’s customers or clients to any person or entity.
  • Neither party will attempt to induce or hire any employee, agent, or former employee or agent of the other party, nor encourage them to leave the other party’s employment.
  • Neither party will make disparaging statements about the other party or any of its members, principals, officers, directors, shareholders, employees, or agents to any person or entity.

Confidentiality
Each party agrees to keep confidential and not disclose or use for personal benefit (except as necessary to perform under this Agreement) any Confidential Information of the other party.

Non-Competition
During the term of this Agreement and for one (1) year after its termination for any reason, both the Client and Smart Billing Solutions agree not to:

  • Engage directly or indirectly in any business activity that competes with the other party.
  • Own, manage, operate, control, be employed by, participate in, or invest in any entity engaged in any business activity that competes with the other party.

Term and Termination
This Agreement begins on the date of the last signature below and continues for one (1) year, automatically renewing for successive one (1) year terms unless either party provides written notice of its intention not to renew at least thirty (30) days before the end of the current term.
Either party may terminate the Agreement for cause upon written notice if the other party:

  • Breaches any material provision of this Agreement and does not correct the breach within thirty (30) days of notice.
  • Commits an act of bankruptcy or insolvency, makes an assignment for the benefit of creditors, or initiates any proceeding under bankruptcy or insolvency law.

Use of Service
The messaging services provided by Smart Billing Solutions enable the Provider to communicate efficiently with patients about payment collection, appointment reminders, and practice updates. The Provider authorizes Smart Billing Solutions to use the practice’s details for these messages, ensuring compliance with legal requirements and patient consent policies.

Provider Responsibilities
The Provider agrees to:

  • Provide accurate, up-to-date information about the practice and patients to Smart Billing Solutions.
  • Ensure that patients receiving messages have previously consented to or can reasonably expect communications related to healthcare and billing.
  • Ensure that all communications through our platform meet relevant legal requirements, including consent policies and privacy laws.

Data Protection and Confidentiality
Smart Billing Solutions maintains strict confidentiality and security of patient and provider data, in compliance with HIPAA and other applicable privacy laws. We will not sell, share, or disclose any patient or provider data to third parties without explicit consent, except as required by law or in the course of providing the service. All data is encrypted during transmission and storage, using industry-standard security protocols to protect sensitive information.

Consent and Authorization
By using our messaging services, the Provider represents that necessary consent has been obtained from patients to send communications related to payment collection, appointment reminders, and practice updates. The Provider authorizes Smart Billing Solutions to send these messages on their behalf.

Opt-Out Policy
Patients receiving messages through Smart Billing Solutions can opt-out of future communications. Upon receiving an opt-out request, Smart Billing Solutions will stop sending messages to the patient and notify the Provider.

Limitation of Liability
Smart Billing Solutions is not liable for delays, failures, or damages arising from messaging services due to:

  • Incorrect information provided by the Provider.
  • Technical issues beyond Smart Billing Solutions’ control.
  • Failure by the Provider to obtain proper patient consent.
    Smart Billing Solutions shall not be liable for any indirect, incidental, or consequential damages resulting from the use of the services.

Severability
If any provision of this Agreement is deemed invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.

Governing Law and Venue
This Agreement is governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law provisions.

Amendments
Smart Billing Solutions reserves the right to modify these Terms and Conditions at any time. Changes will be posted on our website, and continued use of the services implies acceptance of revised terms.
